Anthropic's IPO Timeline Keeps Slipping, Explained

Updated October 30, 2026. After months of shifting reports, Anthropic made its IPO plan official: on October 26, 2026 it publicly filed an S-1 registration statement to list Class A shares on the Nasdaq under the ticker ANT. The filing leaves the price range, share count and listing date blank, so the exact debut is still unknown. Under SEC timing rules, trading could start as early as mid-November. Below we explain how the timeline got here, what the filing shows, and what is still only press reporting.

⚡ Quick facts

  • Public filing: S-1 filed with the SEC on October 26, 2026, after a confidential draft in June
  • Listing: Class A shares on the Nasdaq Global Select Market under the ticker ANT; price range and date not yet set
  • Earliest timing: roadshow from about November 10 and first trade around November 16 at the earliest, per SEC timing rules
  • Lead banks: Goldman Sachs and Morgan Stanley head a 22-bank syndicate on the S-1 cover
  • Last private value: $965 billion after the $65 billion Series H in May 2026; reports say bankers are discussing $1.5–2 trillion

How the timeline slipped

Anthropic submitted a confidential draft registration in June 2026, after its $65 billion Series H valued it at $965 billion. Through the summer, reporting pointed to an October listing. In early September, Reuters, via CNBC, reported that the investor marketing phase had shifted to mid-October at the earliest, partly because Anthropic wanted to finalise a reported $15 billion revolving credit facility first. Later reports pushed the expected listing past the November 3 US midterm elections.

The public S-1 on October 26 is the first step that comes from Anthropic itself rather than from people familiar with the process. Shifting dates before that point are normal: companies routinely adjust IPO schedules while they line up financing and wait for market windows.

When could Anthropic stock start trading?

A company must make its filing public at least 15 days before starting a roadshow, which puts the earliest roadshow around November 10. Yahoo Finance worked through the SEC calendar, including the Veterans Day closure, and put the earliest possible first trade on Monday, November 16, with November 18 more likely if Anthropic moves at the pace SpaceX did this year. The Wall Street Journal has reported a target debut in the week of November 16. None of these dates is confirmed by Anthropic; an amended filing with a price range would be the next real signal.

What the S-1 shows

According to summaries of the filing by StockTitan and others, the S-1 reports:

Figures from secondary summaries can contain errors, so check the primary document on SEC EDGAR before relying on any single number.

Who will control Anthropic after the IPO

Public investors will buy Class A shares with one vote each, but they will not control the board. The filing describes a single Class T share held by Anthropic's Long-Term Benefit Trust, which elects a majority of directors, and a Class F share held by an entity owned by the co-founders. Together, the trust and founders can elect the whole board. Anthropic is a public benefit corporation, so its directors must weigh its stated mission alongside shareholder returns. Google and Amazon hold large non-voting stakes.

How big could the IPO be?

The S-1 does not state a valuation. The last private mark was $965 billion, and press reports say bankers are discussing a public valuation of $1.5 trillion to $2 trillion, with a raise of $100 billion or more. If those numbers hold, it would be one of the largest IPOs ever. Forge Global tracks private-market prices for Anthropic shares, which give a rough read on demand but are not the IPO price.

Anthropic versus OpenAI

Anthropic now looks set to list before OpenAI. Sam Altman said in September that going public in 2026 would be "ill-advised" and ruled out a listing this year (see our OpenAI IPO explainer). That reverses the expectation of a year ago, when OpenAI's restructuring was widely read as the first step towards an IPO.
